Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Flux9 webinar platform, including flux9webinars.com and all related services (collectively, the “Service”), operated by Rider Systems Limited, a company registered in the Federal Republic of Nigeria (“Company”, “we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is greater), and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access. We are not liable for any loss or damage arising from your failure to safeguard your account.

3. License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes. All rights not expressly granted are reserved by us.

4. Intellectual Property

All content, software, designs, text, graphics, logos, video recordings, training materials, AI-generated outputs, templates, and other materials made available through the Service (collectively, “Company Content”) are and remain the exclusive property of Rider Systems Limited or its licensors. You may not copy, reproduce, distribute, publicly display, modify, reverse engineer, sell, sublicense, or create derivative works of any Company Content except as expressly permitted by these Terms.

You retain ownership of the content you upload to the Service (“User Content”). By uploading User Content, you grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, transmit, and process such content solely to operate and provide the Service to you.

You agree not to:

Violation of this section is a material breach and entitles us to suspend or terminate your account immediately, without notice and without refund.

6. Fees, Payment, and Taxes

Fees are stated on the Service and are charged in the displayed currency. The flux9webinars.com site bills in US Dollars (USD) for global customers; the flux9webinars.com/ng site bills in Nigerian Naira (NGN) for Nigerian customers. Payment is processed by third-party providers (including, where applicable, Paystack and our acquiring bank's international payment gateway). You authorize us and our payment processors to charge your selected payment method.

You are responsible for all taxes, duties, or governmental levies associated with your purchase, except for taxes based on our income. We may change our prices at any time with at least 30 days' notice for existing subscribers; the new price takes effect at the start of the next billing period.

7. Refunds and Cancellation

Refunds are governed by our Refund Policy. Subscription cancellations are governed by our Cancellation Policy. Both are incorporated into these Terms by reference.

8. Service “As Is” — No Warranty

The service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant any specific results, revenue, attendance, conversions, or business outcomes from your use of the Service.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Rider Systems Limited, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with these Terms or your use of the Service, even if advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising out of or in connection with these Terms or the Service shall not exceed the total amount you actually paid to us in the three (3) months immediately preceding the event giving rise to the claim, or one hundred United States Dollars (USD 100), whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Rider Systems Limited and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any of these Terms; (c) your User Content; or (d) your violation of any third party right, including any intellectual property or privacy right.

11. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including (but not limited to) for breach of these Terms, fraudulent activity, chargebacks, non-payment, or behavior that we determine to be harmful to other users or our business. Upon termination, your right to use the Service ceases immediately, and any provisions of these Terms that by their nature should survive termination (including Sections 4, 8, 9, 10, 12, and 13) shall survive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally resolved by binding arbitration seated in Lagos, Nigeria, in the English language, under the Arbitration and Mediation Act of Nigeria (or its successor legislation). The decision of the arbitrator shall be final and binding on the parties.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated by email or via a notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14. Miscellaneous

These Terms, together with the Refund Policy, Cancellation Policy, and Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign them freely. These Terms do not create any agency, partnership, joint venture, or employment relationship.
